Clause 1: Purpose
The general terms and conditions of sale described below detail the rights and obligations of the company Marjorie Loup Atomic Mouse and the client in connection with the sale of the following services:
Creation and installation of chatbots or any automation on the customer's website, social medias, internal service
If required, creation of a customized chatbot at the customer's request
Training in chatbot use as site owner and live chat operator
If required, after agreement with the customer, monitoring and monthly maintenance of the customer's chatbot
Any service provided by Marjorie Loup Atomic Mouse therefore implies the customer's unreserved acceptance of these terms and conditions.
Clause 2: Pricing
The prices of the services sold are those in force on the day the order is taken. They are denominated in euros and calculated inclusive of all taxes. Consequently, VAT is not applicable and cannot be reclaimed.
Marjorie Loup Atomic Mouse reserves the right to modify its prices at any time. However, it undertakes to invoice the services ordered at the prices indicated when the order is registered.
Marjorie Loup Atomic Mouse has an obligation of means and is not bound by an obligation of results.
Clause 3: Discount
No discount will be granted for early payment.
Clause 4: Terms of payment and beginning of services
Orders must be paid for :
by direct bank transfer ;
via Stripe (secure online payment 🔒)
or by Paypal.
Upon registration of the order, the client must pay the full amount stipulated in the quotation signed by the client.
Services will only begin once full payment has been received.
The quotation constitutes a contract, and any quotation signed by the client implies a financial and professional commitment by both parties.
Remuneration consists of a one-off fixed payment. In some cases, after agreement and signed agreement with the customer, a fixed monthly fee will also be charged for data updates, AI training and results analysis, with the aim of improving and optimizing the AI.
Further steps will only be taken by means of a contract drawn up by Marjorie Loup Atomic Mouse, stipulating Marjorie Loup Atomic Mouse's rates and the specific terms of the agreement between the parties.
Clause 5: Retention of title clause
If the customer goes into receivership or liquidation, Marjorie Loup Atomic Mouse reserves the right to retain ownership of the results of the service and the sums paid by the customer.
After delivery of the final service by Marjorie Loup Atomic Mouse and acceptance by the client, the material (automation, chatbot and chatbot account, automation and account opened for the installation of this automation if opened in the customer's name) becomes the property of the client.
Clause 6: Delivery
Delivery is made :
by e-mail to the customer's attention, with, if necessary, any other documents relating to the order (account password, search source list, photos, images, videos, additional documents).
The delivery time indicated when the order is placed is given as an indication only and is in no way guaranteed.
Consequently, any reasonable delay in the delivery of services shall not entitle the purchaser to :
compensation for damages ;
cancellation of the order.
Clause 7: Force majeure
Marjorie Loup Atomic Mouse may not be held liable if the non-performance or delay in performance of any of its obligations described in these terms and conditions of sale is due to force majeure. Force majeure is defined as any external, unforeseeable and irresistible event within the meaning of article 1148 of the French Civil Code.
Clause 8: Competent court
Any dispute relating to the interpretation and execution of these general terms and conditions of sale is subject to English law.
Failing amicable resolution, the dispute will be referred to the London Commercial Court.
